Securities and Exchange Commission Memorandum Circular Number 1 Series of 2016 issued last January 15, 2016 by the Securities and Exchange Commission (the “Commission”), provides guidelines for the filing of the Annual Audited Financial Statements (AFS) and General Information Sheet (GIS) for all registered corporations with the Commission including branch offices, representative offices, regional headquarters and regional operating headquarters of foreign corporations with fiscal year ending December 31, 2015 as follows:

However, regardless of the last digit registration number, registered corporations can file their AFS on or before the first day of the stated filing schedule above. On the event that a registered corporation fails to comply with the filing dates provided, the Commission will commence to accept the late filings on May 23, 2016 subject to the prescribed penalties to be computed from the last day of the scheduled filing date.
On the other hand, the General Information Sheets should be filed with the Commission using the following guidelines:

The filing of the above reports may be done directly with the Head Office of the Commission and/ or satellite offices located in Ali Mall-Cubao Quezon City, SM Manila, SM North EDSA . Furthermore, registered corporation availing the courier filing option should remember that the reckoning date of the submission is the date the courier has actually sent or delivered the filed reports to SEC.
Registered Corporations with fiscal year ending other than December 31 should file their AFS within 120 days from the end of their fiscal year.
